4 SOLERA DIAMOND VALLEY | OCTOBER 2025 I am ecstatic to mention how well the "Impasta!" event went! Everyone seemed to enjoy themselves, the entertainment, and the fantastic catering we had. Now, the plan is to have more events that meet that same atmosphere of pleasantry and community. I have ideas — events that I have thought of, events that have been held before, and events the RAC comes up with. However, I do not hear much from individuals about event ideas they may have, and I would very much like to hear some ideas. By Steve Patrick, Board Member inking about the Homeowner Association's (HOA) governing documents (CC&Rs, Articles of Incorporation, Bylaws, Rules and Regulations), which one would you think is the most important? e CC&Rs definitely rank as the most referenced document, and seems the likely choice, but the Articles of Incorporation is actually the most important HOA document. e CC&Rs outline the rights, responsibilities, and restrictions of both the homeowners and the HOA. e Bylaws define how the HOA works. e Rules and Regulations provide specific guidelines and policies and are a supplement to the CC&Rs. However, it's the Articles of Incorporation that create and establish the HOA as a legal entity. Our Articles of Incorporation created Solera Diamond Valley (SDV) as a Nonprofit Mutual Benefit Corporation that exists to serve its members. e original name of the corporation was Rancho Diamante Community Association, later amended to SDV. Being a legal entity, the HOA can own property such as communal areas, enter contracts, and enforce the rules that govern the community. is allows the HOA to support the common resources of the community for its members' benefit, as well as providing state tax exempt status for members' fees and dues. As a corporation, we operate under California corporate bylaws and state laws, in addition to following the Davis-Stirling Act's rules and procedures and our own governing documents. So, getting back to the most important HOA document, if you chose the Articles of Incorporation, you were correct. Congratulations!
