By Eva Macera, Board Secretary On July 22, 2026, the FSTL Board of Directors approved holding a Special Election to amend the Bylaws. e special election will take place on Tues., Jan. 12, 2027, in the Assembly Room at the Lodge. On Oct. 21, 2026, the election materials were distributed to each household. All materials were sent electronically unless you actively opted out and preferred them to be sent via USPS mail. It is important to note that only one ballot per household will be accepted. Why amend the Bylaws? Our current Bylaws were draed and approved by the builder. As such, they were written in a manner that protected the builder's interests. ey contain language that dealt with the voting rights and Board membership while the builder was still in the community. ey also have language that is no longer allowed under the law, such as limiting who can vote and eligibility for serving on the Board. Amending the Bylaws is important because they modernize your HOA governance, strengthen election integrity, reduce legal risk, and align our community with California best-practice standards. Proposed Amendments While the proposed amendments include minor grammatical edits and renumbering of Articles & Sections throughout, there are ve main proposed amendments that are important to highlight. 1. Elimination of Cumulative Voting Cumulative voting allows voters to give their preferred candidate more than one vote which gives an unfair advantage to that candidate. As previously stated, cumulative voting was added to our Bylaws by the builder to allow them to control our Board while they still had an interest in our community. Each household receives the same number of votes as there are open seats on the Board. When there are two open seats, you receive a total of two votes and when there are three open seats, you receive a total of three votes. Cumulative voting undermines the one-member- one-vote fairness and protects entrenched directors, blocking new voices with fresh ideas. Per the current Bylaws, cumulative voting is only allowed when more than two seats are to be lled. Our Board consists of ve members, and the Association staggers our elections. One year, we elect two Board members, and the next year we elect three Board members. Eliminating cumulative voting would simplify the election process, promote consistency from year to year, and help ensure that each open Board seat is lled through the same election rules. 2. Addition of Term Limits Currently, the Bylaws do not include term limits for Board members. e proposed amendment would limit a Board member to two consecutive terms, for a total of four consecutive years. Aer reaching that limit, the Board member would be ineligible to run again for one year before becoming eligible for future service. Term limits can support healthy governance by encouraging new perspectives, promoting broader homeowner participation, and reducing the risk of long-term concentration of leadership. Because the Association uses staggered elections, this change would still allow continuity and preserve institutional knowledge while creating opportunities for new candidates to serve. 3. Allowing Election by Acclamation Under California law, an association may be able to seat directors by acclamation when the number of qualied candidates is equal to or fewer than the number of open seats, provided the Bylaws authorize the process and all legal notice requirements are satised. Election by acclamation allows those candidates to be appointed without the necessity of holding an election. e proposed amendment would add language allowing elections by acclamation which saves thousands of dollars in unnecessary election expenses, speeds up seating directors, and reduces administrative burden. 4. Removing Election Quorums when Legally Allowed e current Bylaws require participation by at least 25% of the membership for Board member elections. If that threshold is not reached, the meeting may be adjourned and reconvened with a reduced 15% quorum requirement. While recent elections have surpassed that threshold, quorum requirements can create the possibility of delays, additional costs, and reconvened meetings if turnout is not sucient. e proposed amendment would eliminate quorum requirements when legally permitted, helping the Association conduct elections eciently and avoid unnecessary expenses. 5. Removal of Builder-Related Language and Updates to Comply with Current Law e current Bylaws contain references to the builder and related governance provisions that no longer apply to the Association. Removing outdated builder-related language would make the Bylaws clearer and easier for homeowners to understand. e proposed amendment would also update the Bylaws to better reect current legal requirements and modern HOA governance practices. Please Remember to Vote Approving the proposed Bylaw amendments would help modernize the Association's governing documents, improve clarity, support fair and ecient elections, reduce unnecessary costs, and help ensure the Bylaws remain consistent with current legal requirements. Please review the election materials carefully and vote. Every vote counts! UPCOMING SPECIAL ELECTION TO AMEND BYLAWS 4 FOUR SEASONS AT TERRA LAGO ROADRUNNER | NOVEMBER 2026
