Thank you for taking the time to read our community news magazine. We trust that this issue will find you well and in good spirits. From time to time the question is asked: "What does the Board of Directors do?" Let's discuss. Within the Bylaws of our Community Association there is a section entitled Powers and Duties. It states the following: "Subject to the limitations of the Articles, these Bylaws, the Declaration and the California Nonprofit Mutual Benefit Corporation Law as to action required to be taken, authorized or approved by the Members of the Association, or a portion or percentage thereof, all Association powers and duties including those set forth in the Declaration shall be exercised by, or under the authority of the Board, and the business and affairs of the Association shall be controlled by the Board." Translation: Your Board of Directors is responsible for taking appropriate steps to preserve, enhance and protect the overall integrity of the Association and its assets. To this end the board employs all of the business acumen available to us. Regretfully, from time to time we are faced with individual domestic issues which negatively impact the tranquility of our community, and over which we have little or no authority to control. Nevertheless, when these situations arise, we again seek all resources and remedies available, and as necessary, employ the expertise of our "Association's" Legal Counsel law office to pursue resolution. Of one thing you can be certain, the on-going stability of our community at large is the constant driver in all of our decision making processes. To this end we must carefully operate consistent with the requirements of the Davis-Stirling Common Interest Development Act, and all other related civil statutes or laws and govern our actions accordingly. We do not, and cannot, operate as a stand-alone entity. The things that you see and hear at the monthly board meetings are but the tip of the iceberg. Many of the items on the open meeting agendas are the products of deliberations on the part of our community's Operating Committees. Many involve expenditure of our money for goods or services and are forwarded to your board for its consideration. Many of these items fall into the category of third party contracts which are discussed by your board in what is known as Executive Session. In many cases, documents are vetted in coordination with our Legal Counsel. In all cases, financial aspects are coordinated with our Finance Committee. Contractual performance standards are developed by your board. Finally, the actual voting to "approve or deny" is conducted during the open meeting for all members to witness. What then does your Board of Directors do? In a word – "work." Speaking of work, you should also know that the assistance and professional resources provided by our on-site Euclid Management team, is absolutely invaluable and essential to the successful outcomes of all matters brought before your board. There is an enormous amount of time and effort expended to research, vet, create, compile, disseminate, track and record information needed by your board members (and the other operating entities) to accomplish the business of the Association. Rick, Mari, Louise and Michelle work diligently behind the scenes, in coordination with their colleagues in the business operations center in Upland. Our Lodge attendants, Brenda, Brad, Jim, Janet, Jamie and Tracie complete the package by providing helpful, courteous service to our residents at the front desk. All of these folks consistently demonstrate an extraordinary dedication to the success of our Association. Don't hesitate to say "thank you" every now and then! It is hard to believe that when you receive this issue, November will have arrived and the 2014 holiday season festivities will soon begin. Gee, didn't we just do this? No, that was last year, "time" has moved on. Pause, reflect and enjoy all that is good in your life today, we have much for which to be thankful.
